1. Agreement to Terms

By accessing our website or engaging MP AI Labs for custom software engineering, AI integration, or IT consulting services, you agree to be bound by these Terms & Conditions and any Master Services Agreements (MSA) executed between parties.

2. Scope of Services

All software development, architecture roadmaps, code audits, and AI engineering services are governed by formal Statements of Work (SOW) detailing deliverables, acceptance criteria, milestones, and sprint schedules.

3. Intellectual Property Rights

Unless otherwise specified in a custom SOW, upon full payment for engineering milestones, 100% of all bespoke source code, database schemas, API integrations, and custom IP created specifically for the client shall transfer exclusively to the client with zero vendor lock-in.

4. Warranty & SLA Support

We warrant that our delivered software complies with the specifications agreed in the SOW. Maintenance, bug-fix windows, and uptime SLAs are governed by active support agreements.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
